Terms of Service

1. Acceptance of Terms

By accessing or using BidNest ("the Service"), operated by BidNest ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

2. Description of Service

BidNest is a real estate analytics platform that provides hyper-local market data, bidding intelligence, neighborhood comparisons, and AI-powered inspection report analysis to help home buyers make informed decisions. All market analytics are free. Inspection report analysis is available as a one-time purchase at $49 (Inspection Analysis) or $99 (Inspection + Bid Plan) per report.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must be at least 18 years old to create an account and use the Service.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payments

• Inspection report analyses are one-time purchases processed through Stripe. You authorize us to charge your payment method for the applicable fee at the time of purchase.
• We reserve the right to change pricing with at least 30 days' notice.
• 7-day money-back guarantee: if the analysis does not surface at least one finding you did not already know about, email us at support@bidnest.app within 7 days of purchase and we will issue a full refund to your original payment method, no questions asked. Refund requests received after 7 days are evaluated on a case-by-case basis.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Scrape, crawl, or use automated means to access the Service without our written consent.
• Attempt to gain unauthorized access to our systems, other accounts, or any non-public portions of the Service.
• Redistribute, resell, or sublicense any data or content obtained from BidNest without prior written permission.
• Upload malicious files, viruses, or any content designed to disrupt the Service.

6. Inspection Report Analysis

BidNest offers an inspection report analysis feature that uses automated processing to extract and summarize information from uploaded PDF inspection reports. By using this feature, you acknowledge and agree that:

• You have the right to upload and share the inspection report with our Service.
• We process uploaded reports to provide analysis and automatically delete the original PDF 30 days after upload. The structured analysis we generate from your report remains in your account.
• You are responsible for verifying the accuracy of any analysis generated from your uploaded reports.

7. User Content and Data Rights

7.1 Content License Grant

By uploading, submitting, or otherwise providing home inspection reports, text, images, or other materials ("User Content") to the Service, you grant BidNest a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such User Content solely for the purpose of providing the analysis you have requested and operating the Service. We do not use your User Content to train third-party AI models.

7.2 De-identified and Aggregated Data

You grant BidNest the right to remove or redact personally identifiable information from User Content so that it no longer reasonably identifies you, the property owner, or any third party ("De-identified Data"), and to aggregate De-identified Data with other data to refine our repair cost database and generate market benchmarks ("Aggregated Data"). De-identified Data and Aggregated Data do not identify any individual user or property.

7.3 Ownership of Derived Data

BidNest shall be the sole and exclusive owner of all right, title, and interest in and to any De-identified Data, Aggregated Data, and derivative works derived from or utilizing User Content. This does not affect your ownership of the original User Content you uploaded.

7.4 Your Representations

By uploading User Content, you represent and warrant that:

• You own all rights in the User Content, or you have acquired all necessary rights, licenses, and permissions (including from the home inspector, author, or copyright holder of the report) to upload the User Content and grant us the rights described in these Terms.
• Your upload and our use of the User Content will not infringe or misappropriate the intellectual property rights, privacy rights, or other rights of any third party.
• The User Content does not contain any material that is defamatory, obscene, or otherwise unlawful.

9. Intellectual Property

All content, features, and functionality of the Service (including but not limited to text, graphics, logos, data compilations, software, and design) are owned by BidNest or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.

10. Data Sources and Accuracy

BidNest aggregates data from public sources including Redfin, the US Census Bureau, and public county records. While we strive for accuracy, we do not guarantee the completeness, reliability, or timeliness of any data presented. Data may contain errors, omissions, or delays. You should independently verify any information before relying on it for important decisions.

11. Limitation of Liability

To the maximum extent permitted by law, BidNest and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service, any decisions made based on information provided by the Service, or any unauthorized access to or alteration of your data. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless BidNest and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time without notice. We are not liable for any downtime, data loss, or service interruptions.

14. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimer, Limitation of Liability, and Indemnification) will survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Alameda County, California.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of BidNest after changes are posted constitutes your acceptance of the revised Terms.
